The following terms and conditions apply to projects undertaken by E Branding Solution. For any inquiries, contact us at info@ebrandingsolution.com.

Revision Policy

  • Revisions are free within the limits specified in your package.
  • Unlimited revisions are capped at 10 rounds.
  • Free revisions apply only if design concepts remain unchanged and revision requests are submitted within 3 working days of initial concept delivery.
  • Revision timelines:
    • Logo Design: Delivered within 48 to 72 working  hours(Extendable).
    • Website Design: Delivered within 12-15 Business Days (Extendable).
    • Web Development: Delivered within 15-20 Business Days(Extendable).

New Order Turnaround Time

  • Logo Orders: 24-72 working hours (depending on package details).
  • Website Design (Home Page): 48-72 hours after order confirmation.
  • Static Website Development (5-7 pages): 12-15 business days. (Extendable).
  • Digital Marketing Services: Campaign timelines vary based on scope and will be communicated upon order confirmation.
  • Orders placed on Fridays or Saturdays begin processing from Monday.

Refund Policy

Refunds are not applicable under the following circumstances:

  • No refunds, disputes, or chargebacks will be accepted for Non-responsiveness of the client for over two weeks.
  • Approval of any design or project concept by the client.
  • Partial payments or purchase of service bundles.
  • Services such as Social Media, SEO, Digital Advertising, APIs, Functionalities, Plugins, Domain Registration, and Web Hosting.
  • Change of mind or disagreements unrelated to the quality of our service.
  • Requests submitted after 30 days from purchase.
  • Refunds must be claimed within two days of payment if the project has not started. Claims made after two days will not be eligible for a refund.
  • Purchases under discounted or promotional packages.
  • No refunds, disputes, or chargebacks will be accepted for sales or discounted services.
  • Non-payment of invoices or dues, which also results in immediate suspension of services.

Note: Refund requests are analyzed on a case-by-case basis. Approved refunds will include a transaction fee deduction, and clients will forfeit rights to any delivered designs or services.

Ownership of Projects

  • Clients receive 100% ownership of the project upon completion. (Additional Charges)
  • A transfer fee may apply if ownership is requested before project completion.

Quality Assurance Policy

  • We deliver high-quality, well-researched designs and services tailored to meet your expectations.
  • Customer satisfaction is our priority, and we will revise designs until you are satisfied as per the limits specified in your package.

Delivery Policy

  • Final designs and services will be delivered according to the agreed timeline, with a minimum turnaround of 2-5 business days.
  • Urgent orders should be directed to customer support for expedited processing. (Additional Charges).

Record Maintenance

  • We maintain records of all finalized designs and projects for future reference in case of order misplacement or inquiries.

Customer Support

  • Our support team is available 10 Am-9 Pm ( CST) to address your questions, concerns, or order updates.

Virtual Locations & Remote Workforce

We maintain a network of virtual office locations across the United States and globally, designed to support our diverse team of employees and contractors. Our employees work from various locations, whether from home offices, co-working spaces, or other remote settings.

Employees based in the United States are subject to federal, state, and local labor laws. For international employees, we comply with the relevant labor laws and tax regulations of their respective countries, ensuring that all employees are treated fairly and in accordance with local legal requirements.

Data Security & Confidentiality

Remote work and virtual locations require a heightened focus on data security and confidentiality. E Branding Solution provides secure systems and platforms to ensure that all sensitive information is protected. Employees are expected to follow strict guidelines to maintain security and safeguard company and client data.

Remote Work Equipment

We provide the necessary tools and resources for our remote employees, including laptops, software, and any other equipment needed for their roles. Employees are expected to maintain and use company-provided equipment in compliance with company policies.

Performance & Reporting

While we encourage flexibility, we also hold our team to high standards of performance. Remote employees are required to meet key performance indicators (KPIs) and project deadlines. Regular check-ins with supervisors ensure alignment on goals and expectations.

Health, Safety & Well-being

We encourage our remote employees to maintain a healthy and productive work environment, whether at home or in a co-working space. While we are not directly responsible for their workspace, we ensure our employees have the support they need to create a positive and safe work atmosphere.

Relocation

If an employee chooses to relocate, whether within the United States or internationally, they must notify their manager and HR to assess any changes in role or compensation based on location.

Non-Payment Policy

  • Non-payment of invoices or dues will result in the immediate suspension of all services.
  • Clients with suspended services due to non-payment are not eligible for refunds, disputes, or chargebacks under any circumstances.

Late Payment Policy

  1. 15-Day Delay: A late fee of 10% of the outstanding amount will be applied.

  2. 30-Day Delay: A late fee of 15% of the outstanding amount will be applied.

  3. 30 to 60-Day Delay: A late fee of 20% of the outstanding amount will be applied.

  4. 60 to 90-Day Delay: A late fee of 30% of the outstanding amount will be applied.

Non-Payment Beyond 90 Days:
If the payment remains unpaid after 90 days, the project or account will be closed, and the outstanding balance will be forwarded to a private collection agency for recovery.

No Refund, Dispute, or Chargeback Policy

  • All sales and discounted services are final and are not eligible for refunds, disputes, or chargebacks.
  • By placing an order, you acknowledge and agree to this policy.

Additional Terms & Conditions

1. Discounted or Complimentary Services
In the event that a client avails any service(s) from E Branding Solution at a discounted rate or on a complimentary basis, and subsequently elects to (i) discontinue such service(s) prior to the completion of the agreed term, or (ii) transfer such service(s) to any third-party provider during the discounted or complimentary period, the client shall be obligated to settle the full standard (non-discounted) pricing of the relevant service(s) with E Branding Solution. Only upon such settlement shall E Branding Solution terminate or transfer the service(s) as requested.

2. Ownership of Digital Tools and Project Rights
a. Notwithstanding that certain digital or online tools, platforms, or licenses may be registered under the client’s name by E Branding Solution for operational purposes, the intellectual property and project ownership rights shall remain vested in E Branding Solution until final project delivery and official transfer.

b. Should the client request a complete transfer of project ownership, inclusive of all associated digital tools, licenses, intellectual property, and rights, the client shall be required to pay E Branding Solution a transfer fee equivalent to Thirty percent (30%) of the total project value, in addition to a service fee of five percent (5%) of the total project value, prior to the execution of the ownership transfer by E Branding Solution.

c. In the event the client elects not to request ownership transfer, all intellectual property, digital tools, and full project ownership rights shall continue to remain within the E Branding Solution ecosystem without any additional cost to the client. The retained value of such assets shall be deemed commensurate with the scope of the project and services delivered.

3. No Refunds / Non-Reversible Transactions
All payments made to E Branding Solution under the provisions of these Terms & Conditions, including but not limited to settlement of standard pricing for discounted or complimentary services, transfer fees, and service fees, are strictly non-refundable and non-reversible under any circumstances. Once a service is discontinued, transferred, or ownership rights have been transferred to the client, no claim for reversal, refund, or chargeback shall be entertained.

For avoidance of doubt, in cases where the client elects not to request ownership transfer and permits all intellectual property, digital tools, and project ownership rights to remain within the E Branding Solution ecosystem, such decision shall be deemed final and binding. The client shall not be entitled to claim any refund, reimbursement, or financial adjustment in respect of the retained assets, the value of which shall be considered proportionate to the project and service scope already delivered.

4. Limitation of Liability Post-Transfer
Upon the successful transfer of any project ownership, digital tool(s), platform(s), license(s), or intellectual property rights to the client, E Branding Solution shall bear no further responsibility or liability for:

  • Any subsequent restrictions, suspensions, or policy changes imposed by third-party platforms or service providers;

  • Any technical issues, downtime, or incompatibility arising after the transfer;

  • Any misuse, mismanagement, or unauthorized access by the client or third parties.

The client expressly acknowledges and agrees that post-transfer, all risks, obligations, and liabilities associated with the use, operation, or maintenance of the transferred assets shall rest solely with the client.

5. Dispute Resolution & Jurisdiction
a. In the event of any dispute, controversy, or claim arising out of or in connection with these Terms & Conditions, the parties shall first attempt to resolve the matter amicably through negotiation.
b. If no amicable resolution is reached within thirty (30) days, the dispute shall be subject to final settlement through arbitration under the applicable arbitration laws of Pakistan.
c. The client expressly agrees that the courts and legal authorities of Pakistan shall have exclusive jurisdiction over any legal proceedings, and the governing law shall be the laws of Pakistan.

6. Force Majeure
E Branding Solution shall not be held liable or responsible for any failure or delay in performing its obligations under these Terms & Conditions where such failure or delay results from any cause beyond the reasonable control of E Branding Solution, including but not limited to: natural disasters, acts of God, fire, flood, earthquake, epidemics, strikes, labor disputes, government actions, changes in law or regulations, internet or communication failures, third-party platform restrictions, cyberattacks, or any other event of force majeure.
In such cases, E Branding Solution shall be entitled to a reasonable extension of time to perform its obligations, or where performance becomes impossible, E Branding Solution reserves the right to suspend or terminate the affected services without liability.

7. Minimum Commitment, Auto-Renewal & Early Termination

a. By entering into an agreement with E Branding Solution, the client acknowledges and agrees to a minimum service commitment period of six (6) months or 1 Year (or such other period as specified in the service agreement). During this commitment period, the client shall not terminate, discontinue, or transfer the services to any third-party provider without prior written consent from E Branding Solution.

b. Upon completion of the initial commitment period, this agreement shall automatically renew for successive terms of six (6) months or 1 Year each, unless either party provides written notice of non-renewal at least thirty (30) days prior to the expiry of the then-current term.

c. In the event that the client elects to terminate or transfer the services prior to the expiration of the initial commitment period, or any subsequent renewed term, the client shall be liable to pay E Branding Solution an early termination fee equivalent to Thirty-Five percent (35%) of the remaining contract value as mentioned above, in addition to any outstanding invoices or charges due at the time of termination.

d. The client further acknowledges that certain services provided by E Branding Solution involve proprietary methodologies, strategies, resources, and tools that are exclusive to E Branding Solution and non-transferable. Any attempt by the client to replicate, outsource, or engage an alternative provider for substantially similar services during the commitment or renewal term shall constitute a material breach of contract, entitling E Branding Solution to immediate termination of services and the right to pursue full recovery of damages.

8. Exclusivity of Services
During the term of this agreement (including any renewals), the client agrees to engage exclusively with E Branding Solution for all services that are the same as, or substantially similar to, the services being provided by E Branding Solution. The client shall not, directly or indirectly, engage, contract, or collaborate with any third-party provider offering competing or overlapping services without the prior written consent of E Branding Solution.

Any breach of this exclusivity provision shall constitute a material breach of contract, entitling EBS to (i) immediate suspension or termination of services, and (ii) the right to recover as liquidated damages an amount equal to one hundred percent (100%) of the remaining contract value, in addition to any other remedies available under law.

9. Disclaimer of Information
a. While E Branding Solution endeavors to ensure that all information provided on its website, proposals, communications, and related materials is accurate, up to date, and reliable, E Branding Solution makes no representations or warranties, express or implied, as to the completeness, accuracy, or reliability of any such information.

b. The client expressly acknowledges that typographical errors, inadvertent mistakes, or omissions may occur, and such errors shall not, under any circumstances, constitute a binding obligation upon E Branding Solution.

c. In the event the client identifies any inaccuracy, error, or omission, the client is required to promptly notify E Branding Solution in writing. EBS shall make commercially reasonable efforts to review and, if deemed necessary, correct such information within a reasonable time frame, without incurring any liability.

d. E Branding Solution expressly disclaims any liability for:

  • Reliance placed by the client or any third party on inaccurate, incomplete, or outdated information displayed on the website or communicated by E Branding Solution;

  • Any direct, indirect, incidental, consequential, or special damages arising from such reliance;

  • Any interpretation, assumption, or decision made by the client based on such information.

e. All content, data, and information published or communicated by E Branding Solution shall be deemed “as-is” and “as-available”, and E Branding Solution reserves the right to modify, update, or remove content at its sole discretion without prior notice.

Third-Party Tools & Services

E Branding Solution may integrate, utilize, or recommend third-party tools, software, APIs, plugins, hosting platforms, or services to deliver projects or campaigns. E Branding Solution shall not be held responsible for any errors, downtime, limitations, or service failures caused by such third-party providers. Clients acknowledge that third-party terms, conditions, and policies may apply separately, and EBS cannot guarantee uninterrupted availability or performance of any third-party service.

Terms & Conditions – Additional Clauses

10. No Guarantee of Results
While E Branding Solution will make commercially reasonable efforts to deliver services with professionalism and quality, E Branding Solution does not guarantee specific outcomes, rankings, revenues, leads, or results, as these depend on numerous external factors beyond E Branding Solution’s control.

11. Data & Backup Responsibility
Clients are solely responsible for maintaining backups of their data, credentials, and project files. E Branding Solution shall not be held liable for any data loss, corruption, or unauthorized access occurring outside E Branding Solution’s secured systems.

12. Indemnification
The client agrees to indemnify, defend, and hold harmless E Branding Solution, its employees, and affiliates from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from the client’s misuse of services, content, or violation of third-party rights.

13. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes shall be subject to the exclusive jurisdiction of the courts of Pakistan.

14. Amendment of Terms
E Branding Solution reserves the right to update, modify, or amend these Terms & Conditions at any time without prior notice. Continued use of E Branding Solution services after updates constitutes acceptance of the revised Terms.

15. Non-Solicitation
The client agrees not to solicit, hire, or engage directly with any current or former employees, contractors, or affiliates of E Branding Solution for a period of 12 months following the termination of services, without prior written consent from E Branding Solution.

16. Payment Default & Legal Action
In the event of non-payment or default, E Branding Solution reserves the right to initiate legal proceedings, engage collection agencies, or suspend/terminate all services immediately. All legal and collection costs incurred shall be borne by the client.

17. Intellectual Property Violation
Any unauthorized use, duplication, or modification of E Branding Solution’s proprietary materials, tools, designs, or codes will be considered a breach of intellectual property rights and may result in immediate termination of services and legal action.

18. Service Continuity & Dependency
Client acknowledges that their business operations may become dependent on E Branding Solution’s services. In case of termination, E Branding Solution is not responsible for any disruption, loss of business, or inability of the client to maintain their systems independently.

19. Content Responsibility
All content, images, data, and materials provided by the client for use in projects remain the client’s responsibility. E Branding Solution shall not be liable for any copyright infringement, licensing issues, or legal disputes arising from client-provided content.

20. Third-Party Platform Compliance
Where E Branding Solution utilizes advertising platforms, hosting providers, or third-party software, the client agrees to comply with the respective terms of those platforms. EBS is not responsible for suspension, banning, or restrictions imposed by third-party providers.

21. No Direct Transfer of Services
Client agrees not to transfer, assign, or migrate services provided by E Branding Solution to another provider without prior written consent. Any such attempt will be considered a breach of contract and may result in immediate termination of services.

22. Data Access & Credentials
E Branding Solution reserves the right to retain access credentials for tools, platforms, or systems during the term of service. Clients will only receive full access upon complete settlement of dues and fulfillment of contractual obligations.

23. Non-Compete Protection
Client agrees not to use E Branding Solution’s proprietary strategies, internal processes, or custom-developed frameworks to directly compete with E Branding Solution or to establish competing services for a period of 24 months following the completion or termination of services.

24. Performance Dependency Clause
E Branding Solution’s performance is dependent on timely communication, approvals, and material provided by the client. Delays caused by the client will not be considered service delays by E Branding Solution, and no refunds or compensation shall apply.

25. Automatic Renewal Clause
Unless otherwise cancelled in writing 30 days before expiration, all recurring services (hosting, maintenance, digital campaigns, SaaS subscriptions, etc.) shall automatically renew under the same terms, with original pricing.

26. Project Delivery Timeline
All delivery timelines are estimates. Delays caused by revisions, third-party dependencies, or client inaction shall not be attributed to E Branding Solution.

27. Acceptance of Work
Unless client provides written feedback or objections within 2 business days of delivery, the work shall be deemed accepted.

28. Ownership Transfer Conditions
Final ownership of project files, codes, or deliverables will only be granted upon full and final payment of all dues.

29. Suspension of Services
E Branding Solution reserves the right to suspend or restrict services in case of abusive behavior, policy violation, or misuse of systems by the client.

30. Client Communication Obligations
Clients must respond to E Branding Solution queries, approvals, and communications within 3-5 business days. Failure to do so may result in project delays for which E Branding Solution shall not be liable.

31. Use of Deliverables
E Branding Solution grants clients a limited, non-transferable license to use deliverables for intended business purposes only. Any resale, reproduction, or redistribution without consent is prohibited.

32. Unlawful Use Restriction
Services provided by E Branding Solution may not be used for unlawful, fraudulent, or prohibited activities. Violation will result in immediate termination.

33. Data Privacy & Compliance
E Branding Solution will handle client data responsibly but shall not be liable for breaches caused by third-party systems, hosting platforms, or client negligence.

34. Service Dependencies Disclaimer
Performance of digital marketing, SEO, or ads campaigns depends on third-party algorithms and policies (e.g., Google, Meta, etc.). E Branding Solution cannot guarantee rankings, reach, or conversions.

35. Non-Interference Clause
Clients agree not to directly modify, alter, or interfere with E Branding Solution’s systems, codes, or tools without prior written approval.

36. Early Termination Fee
If a client terminates a contract before its agreed duration, an early termination fee of 30% of the remaining project value shall apply and if the services are discounted, clients have to pay full original pricing of those services.

37. Intellectual Property of E Branding Solution
All custom-developed frameworks, strategies, and methodologies remain the exclusive intellectual property of E Branding Solution, even if integrated into client projects.

38. Client’s Legal Compliance
Clients are solely responsible for ensuring that their business operations, products, or services promoted by E Branding Solution comply with all applicable laws and regulations.

39. Audit Rights
E Branding Solution reserves the right to audit client usage of deliverables to ensure compliance with licensing, ownership, and usage restrictions.

40. Limitation on Modifications
Any client-requested modifications after final delivery will be treated as a new scope of work, subject to additional costs.

41. Third-Party Costs
Any costs related to third-party tools, ads spend, domain, hosting, or licenses are the responsibility of the client unless explicitly included in writing.

42. Refund Waiver
By engaging E Branding Solution services, the client expressly waives any right to claim refunds, chargebacks, or reversals through banks, credit cards, or payment gateways.

43. Survival of Clauses
All clauses relating to payment, confidentiality, intellectual property, non-solicitation, and liability shall survive termination or expiration of services.

44. Variation of Agreement
No verbal promises or informal communications shall alter this agreement. Only written and signed amendments are valid.

45. Termination for Breach
E Branding Solution reserves the right to terminate services immediately if the client breaches any of the Terms & Conditions, without liability to refund or compensate.

Disclaimer of Liability

E Branding Solution makes every effort to ensure that all information, content, and materials provided on this website are accurate, current, and reliable. However, typographical errors, technical inaccuracies, or omissions may occur. E Branding Solution does not warrant the completeness, accuracy, or reliability of any information displayed on this website.

If any discrepancies, errors, or inaccuracies are identified, clients are required to notify E Branding Solution immediately. E Branding Solution will, at its sole discretion, review and correct such issues in a commercially reasonable timeframe.

Under no circumstances shall E Branding Solution be held liable for any direct, indirect, incidental, consequential, or special damages arising out of reliance on information provided on this website, including but not limited to business losses, data inaccuracies, delays, or service interruptions.
